Algemene Voorwaarden

1. General

These Terms of Service apply to all services provided by Tempoweb Studio, registered at the Dutch Chamber of Commerce (KVK) under number 77476379, with VAT identification number NL003196283B40, located at Van Ostadestraat 19 b, 3141JN Maassluis, the Netherlands.

By engaging our services, you agree to these terms. These terms apply to all offers, agreements, and deliverables unless explicitly agreed otherwise in writing.

2. Services

Tempoweb Studio provides digital solutions for restaurants including website development, direct ordering systems, WhatsApp integrations, automation tools, and related digital services. The exact scope of services is defined per project agreement.

3. Quotations & Agreements

All quotations are without obligation unless stated otherwise. An agreement is established upon written confirmation by both parties, including email confirmation. Prices are exclusive of VAT unless stated otherwise.

4. Payment

Invoices must be paid within 14 days of the invoice date unless otherwise agreed. Late payments may incur statutory interest and collection costs. Tempoweb Studio reserves the right to suspend services until outstanding invoices are settled.

5. Delivery & Timelines

Delivery timelines are estimates and not strict deadlines. Tempoweb Studio will make reasonable efforts to meet agreed timelines. Delays caused by the client (e.g., late content delivery, delayed feedback) may extend the project timeline accordingly.

6. Intellectual Property

Upon full payment, the client receives usage rights for the delivered work. Tempoweb Studio retains intellectual property rights to its underlying code, frameworks, and methodologies. Tempoweb Studio may reference the delivered work in its portfolio unless otherwise agreed.

7. Liability

Tempoweb Studio's liability is limited to the amount invoiced for the specific project. We are not liable for indirect damages, including but not limited to loss of revenue, lost data, or third-party claims. Tempoweb Studio is not responsible for downtime or issues caused by third-party services (hosting, payment providers, etc.).

8. Cancellation

Either party may cancel the agreement with 30 days written notice. Work completed up to the cancellation date will be invoiced. Deposits are non-refundable once work has commenced.

9. Applicable Law

These terms are governed by Dutch law. Any disputes arising from these terms will be submitted to the competent court in Rotterdam, the Netherlands.
